Single User/Company License to Photos
Photo Delivery within 2 Business Days of Site Visit
$350 on-site for the first hour, $250/hour after the first
Includes editing, aside from extra Photoshop work outside of the normal editing process
Estimated Travel Area Below. Please allow for an additional $1/mile outside of this area.
Mileage is charged as the car drives, not as the bird flies.
Photos are subject to the following licensing:
**1. Grant of License**
The Photographer grants the Client a non-exclusive, non-transferable, and limited license to use the photographs under the following terms and conditions:
**1.1 Social Media Use**:
- The Client may use the Photographs on their social media platforms for marketing purposes.
- Proper credit must be given to the Photographer (e.g., "Photography by Ryan Halsey Photography") where platform terms and space allow.
**1.2 Print Marketing Use**:
- The Client may use the Photographs in their own brochures, flyers, posters, advertisements, and other printed marketing materials.
**1.3 Magazine Use**:
- The Client may submit the Photographs for publication in magazines or similar editorial features, provided the Photographer receives proper credit.
**2. License Limitations**
This license does not permit:
- Transfer or sub-licensing of the Photographs to third parties without prior written consent from the Photographer. This includes Architects, Designers, Builders, and manufacturers. An exception is given for social media companies, as long as the photographer receives proper credit.
- Use of the Photographs for resale, stock photography, or commercial products.
- Any modifications, alterations, or derivative works of the Photographs without prior written approval, except for minor cropping or resizing.
**3. Licensing Fees**
The Client agrees to pay the Photographer a licensing fee for the use of the Photographs outside of this Agreement.
**4. Copyright Ownership**
The Photographer retains all copyright and ownership of the Photographs. This Agreement only grants a license to use the Photographs under the specified terms listed above.
**5. Term and Termination**
This license is granted for a period of 100 years, commencing on the date of the photo shoot. The license may be terminated earlier if:
- The Client breaches any terms of this Agreement.
- The Photographer provides written notice of termination for any misuse.
Upon termination, the Client must immediately cease all use of the Photographs and destroy all copies in their possession.
**6. Credit and Attribution**
The Client agrees to credit the Photographer on all uses of the Photographs where reasonable, such as:
- Social media captions in reels, stories and posts
- Magazine credits
- Website footers
**7. Indemnification**
The Client agrees to indemnify and hold harmless the Photographer from any claims, damages, or liabilities arising from the misuse of the Photographs by the Client or third parties.
**8. Governing Law**
This Agreement shall be governed by the laws of the State of Michigan. Any disputes shall be resolved in the courts of Ann Arbor, MI.
**9. Entire Agreement**
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements. Any modifications must be made in writing and signed by both parties.
